Terms of Service

This Agreement is entered into by and these Terms & Conditions shall regulate the relationship between Cindexcapital LTD (the “Company”) and the user (the “Client”) of Cindexcapital (the “Website”).

The Client confirms that they have read, understood, and accepted all information, conditions, and terms set out on the Website. By registering an Account and depositing funds, the Client accepts this Agreement and enters into a legal and binding agreement with the Company, subject to the Company’s final approval.

Terms

Account means a unique personified account registered in the name of the Client and which contains all transactions on the Trading Platform. Ask means the higher price in a quote. Bid means the lower price in a quote. CFD means a contract for difference. Execution means the execution of Client orders by the Company acting as counterparty. Financial Instruments means instruments available on the Company’s Trading Platform. KYC documents means identity, address, management, ownership, and other documents the Company may request. Market means the market on which Financial Instruments are traded. Market Maker means a company providing BID and ASK prices. Operations means actions performed at the Client’s Account, including funding and opening or closing trades. Prices include the applicable spread. Services means the services described in this Agreement. Spread means the difference between Ask and Bid. Trading Platform means the electronic system that presents quotes and allows orders.

Subject of the Agreement

The subject of the Agreement is the provision of Services to the Client through the Trading Platform. The Company carries out transactions on an execution-only basis and does not manage the account or advise the Client. The Company may execute transactions requested by the Client even when they are not beneficial to the Client.

General Provisions

The Company offers Services at its discretion. The Client must not execute transactions that exceed the total balance or deposited amount maintained in the Account. Deposited amounts may be treated as collateral securing the Client’s obligations to the Company.

Services of the Company

Services include customer, analytics, news, and marketing information services. The Company facilitates trade activities but does not provide trust, trading consultation, or advisory services unless a separate written agreement is entered into. The Client is responsible for all orders submitted through their security information and Account.

Execution of Orders / Electronic Trading

The Company executes orders as counterparty in its capacity as Market Maker and acts as principal, not agent. Orders are executed sequentially and promptly. The Client accepts the risks of technical failures, delays, errors, unauthorized access, and orders sent through electronic means.

Limitation of Liability

The Company does not guarantee uninterrupted, safe, or error-free service and is not responsible for disruptions caused by hardware, software, communications, suppliers, third parties, force majeure, or events outside its control. Under no circumstances will the Company be responsible for direct or indirect damages where permitted by law.

Settlement of Transactions

The Company settles transactions upon execution. An online Account statement will be available to the Client through the Trading Platform.

Indemnity and Liability

The Client shall indemnify the Company and its directors, officers, employees, and representatives against liabilities, losses, damages, claims, costs, or expenses arising from the Client’s acts or omissions, except where caused by the Company’s gross negligence, willful default, or fraud. The Company is not liable for lost profits, lost opportunities, consequential loss, or the acts or insolvency of third parties.

Personal Data

By accepting this Agreement, the Client consents to the Company collecting and processing personal data provided by the Client. Personal data may include name, address, phone number, email, IP address, cookies, and information relating to the provision of Services, such as trading history. The Client must provide correct, accurate, and complete information. The Company may collect, record, store, update, use, transfer, anonymize, block, delete, or destroy personal data as permitted by applicable law and for the purposes of this Agreement, including anti-money laundering compliance and providing Services. Personal data may be stored during the Agreement and for five years after termination. The Company may disclose proportionate personal data to third parties where necessary to facilitate orders or Operations, provided those parties handle it in accordance with applicable laws. The Company will take legal, organizational, and technical measures to protect personal data from unauthorized access or unlawful processing.

Assignment

This Agreement is personal to the Client, who may not assign or transfer rights or obligations under it. The Company may assign or transfer its rights or obligations to a third party and will notify the Client of such assignment.

Risk Statement

The Client confirms that they have read, understood, and accepted the risk statement relating to the use of Services on the Website.

Charges and Fees

The Company is entitled to receive fees for Services and may pay commissions to business introducers or referring agents under written agreements. Applicable fees and charges are published on the Website and may be amended from time to time. Ongoing trading fees, including swaps, may be deducted from the Account balance. Payments may also be reduced by bank or intermediary charges.

Duration and Termination of the Agreement

This Agreement is concluded for an indefinite term and comes into force when the Client accepts it and makes an advance payment. The Company may terminate the Agreement without prior notice if the Client fails to provide required KYC documents within 14 days. Where permitted by this Agreement, the remaining balance may be wired to the Client or made available for withdrawal, subject to applicable exclusions.

Terms and Conditions for 1-Click Service

The Client agrees to make deposits and pay any additional expenses, taxes, or duties required to use Services. A payment is considered processed and cannot be returned after the Payment button is clicked, subject to applicable law. Payment processing is performed by a third-party provider. The Provider is not responsible for the Website’s pricing, services, or the Client’s additional fees. The Client may refuse further use of the 1-Click service through the Account.

Annex 1 - General Terms

The Client is responsible for verifying that transactions and Services are lawful in their jurisdiction and for securing their Account credentials. The Company may accept or decline deposits, funding, or withdrawal requests depending on the selected payment method and is not responsible for the actions of third-party financial institutions. No Trading Account will be approved without completion of the Company’s compliance procedures.

Risks

The value of Financial Instruments may increase or decrease, and CFD trading may result in the loss of all funds. CFDs do not give the Client rights to the underlying instrument. Virtual currencies are complex, high-risk products whose prices fluctuate widely and may result in significant loss over a short period. Clients should not trade products they do not understand.

Financial Information and Quotes

The Company is not responsible for losses caused by inaccurate or erroneous financial information. Clients should verify information using dependable sources. Quotes and graphs on the Trading Platform may be indicative, and the reliable source of quote flow is the main server for customer requests. The displayed price may be formed using the Bid and Ask average.

Copyright and Third-Party Websites

Copyright and intellectual property on the Website belong to the Company or authorized third parties. Materials may not be copied, distributed, altered, sold, or commercially used without permission. The Website may contain links and information from unaffiliated companies. The Company is not responsible for third-party websites, advertisements, content, actions, or omissions.
